Terms and conditions for using our services

1. Acceptance of Terms
By accessing and using the services provided by Technomate Inc. ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
Technomate Inc. provides technology consulting and development services, including but not limited to:
- Custom web and mobile application development
- Website design and development
- Cloud solutions and infrastructure services
- IT consulting and digital transformation services
- System maintenance and support services
- Digital strategy and planning services
3. Service Agreement and Scope
Project Proposals
All projects begin with a detailed proposal outlining scope, timeline, deliverables, and costs. The proposal, when accepted by both parties, forms the basis of our service agreement.
Scope Changes
Any changes to the agreed scope of work must be documented in writing and may result in additional costs and timeline adjustments.
Client Responsibilities
Clients are responsible for:
- Providing timely feedback and approvals
- Supplying necessary content, materials, and access
- Ensuring accuracy of provided information
- Maintaining confidentiality of login credentials and sensitive information
4. Payment Terms
Pricing and Invoicing
Project costs are outlined in individual proposals. Unless otherwise specified:
- Payment terms are Net 30 days from invoice date
- Projects may require deposits or milestone payments
- Late payments may incur interest charges of 1.5% per month
- All prices are in Canadian Dollars (CAD) unless otherwise specified
Refunds
Refunds are considered on a case-by-case basis. Work completed and delivered cannot typically be refunded. Deposits may be non-refundable depending on project circumstances.
5. Intellectual Property
Client-Owned Content
Clients retain ownership of all content, data, and materials provided to us. We are granted a license to use such materials solely for the purpose of delivering agreed services.
Developed Solutions
Upon full payment, clients receive ownership of custom-developed solutions, excluding:
- Third-party software and licenses
- Our proprietary tools, frameworks, and methodologies
- Open-source components (subject to their respective licenses)
Portfolio Rights
We reserve the right to showcase completed work in our portfolio and marketing materials, unless otherwise agreed in writing.
6. Confidentiality
We maintain strict confidentiality regarding all client information and project details. We will not disclose confidential information to third parties without explicit written consent, except as required by law.
7. Warranties and Disclaimers
Service Warranty
We warrant that our services will be performed with professional skill and care. We will correct any defects in our work at no additional cost for a period of 30 days after delivery.
Disclaimers
Except as expressly stated, our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.
8. Limitation of Liability
Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.
9. Termination
Termination by Client
Clients may terminate services with 30 days written notice. Client remains responsible for payment of all work completed and expenses incurred up to the termination date.
Termination by Company
We may terminate services immediately for non-payment, breach of terms, or if continuation of services becomes impractical or impossible.
10. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario.
12. Privacy and Data Protection
Our collection and use of personal information is governed by our Privacy Policy. We comply with applicable privacy laws and regulations.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new effective date. Continued use of our services constitutes acceptance of modified Terms.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
